DeHeng Advised Sheng Ye Capital on Its Listing
on the Growth Enterprise Market of Hong Kong Stock Exchange

Sheng Ye Capital Limited ("Sheng Ye Capital") was listed on the GEM of Hong Kong Stock Exchange on July 6, 2017 under the ticker symbol of 8469.HK. Sheng Ye issued 185 million shares globally at an issue price of HKD 1.80-2.20 per share. DeHeng provided legal services for the entire process of listing.

As the core member of Sheng Ye Group and one of the first foreign-invested enterprises to enter the commercial factoring market in China, Sheng Ye Capital is dedicated to providing state-owned enterprises and SMEs with services in accounts receivable financing and supply chain financial services (commercial factoring) in the three industries as energy chemical, infrastructure, and healthcare and pharmaceuticals. Since its start of operations in 2014, Sheng Ye Capital has achieved and sustained growth of profits. In 2016, the annual factoring business revenue increased by 96.3% over the year of 2015.

DeHeng served as the issuer's Chinese legal counsel, and provided legal services including: conducting due diligence and issuing legal opinions on the issuer's domestic companies, assisting in the revision of Chinese and English versions of prospectus involving the business in China, and providing feedback on questions regarding Chinese law issues raised by the Hong Kong Stock Exchange and the China Securities Regulatory Commission from time to time during their process of review and examination.
