Mr. Kai Xue advises on complex cross-border transactions with a practice centered on three core areas. His primary area of work is mining-related mergers and acquisitions in sub-Saharan Africa, particularly in the gold and copper sectors. He regularly advises on acquisitions and joint ventures involving African mining assets, including transactions with publicly listed companies in Canada and the UK, involving public M&A structures such as Canadian plans of arrangement and transactions governed by the UK Takeover Code.
A second pillar of Mr. Xue’s practice is Belt and Road Initiative–related financing, with a focus on infrastructure and energy projects across the Global South. He has advised lenders on project finance transactions involving renewable energy, transport, and industrial infrastructure in emerging markets. In connection with these matters, he has developed substantial experience in US sanctions and export control regimes.
The third area of his practice involves assisting international financial institutions in establishing a presence in the Chinese market. He also advises on international arbitration matters in the mining sector, including the recognition and enforcement of foreign arbitral awards in China.
In addition to his transactional practice, Mr. Xue is active in legal publishing. He has served as lead coordinator for DeHeng Law Offices’ cross-border legal reference publications, produced in collaboration with dozens of local law firms worldwide, including FDI, M&A and Mining Legal Overviews for African Countries (2024), FDI and M&A Legal Overviews for 12 Countries in Latin America (2023), and FDI and M&A Legal Overviews for RCEP Countries (2022). Most recently he prepared an additional volume covering Africa, a compendium of overviews for 14 French- and Portuguese-speaking African countries. Mr. Xue is also the author of more than 40 articles on outbound investment, mining, and practical tips on artificial intelligence on corporate legal practice, published in Hong Kong Lawyer, Caixin Global, and the South China Morning Post.
