Recently, DeHeng Law Offices (Chengdu) represented a client in a retrial case involving the recovery of unpaid capital contributions from a former shareholder. The Supreme People’s Court issued the Civil Judgment (2025) Zui Gao Fa Min Zai No. 284, legally revoking the second-instance court’s ruling that had held the former shareholder liable for supplementary capital contribution obligations. This successful outcome exempted the client from a potential liability risk exceeding tens of millions of yuan. The renowned Company Law expert Professor Zhou Yousu provided theoretical support for the case’s legal argumentation, solidifying the professional foundation for the victory.
The case progressed through first-instance proceedings at the Zhengzhou Intermediate People’s Court and second-instance proceedings at the Henan Provincial High People’s Court, ultimately achieving a reversal in the retrial process at the Supreme People’s Court. During the retrial, lawyers Li Xiaoxiao, Li Mengjun, and Shen Meng presented meticulous arguments centered on the core disputes of the case: “the determination of liability for the transfer of equity with an unpaid capital contribution period that has not yet expired” and “whether the new law can be applied retroactively.” Professor Zhou Yousu, leveraging his profound theoretical knowledge and practical experience in the practice area of the Company Law, provided professional theoretical support from perspectives including principles of law application, protection of shareholders’ period-based interests, and stability in commercial transactions. The key viewpoints were all adopted by the Supreme People’s Court.
