on Investment in Legend Capital Healthcare Fund

Recently, Greatwall Life Insurance Co., Ltd. (the "Greatwall Life") invested in the Phase III Healthcare RMB Fund initiated and managed by Legend Capital Management Co., Ltd. The completion of the deal was an response to the call of the state for channeling financial capital to support the real economy, and was conducive to strengthening investment in the healthcare industry after the outbreak of the COVID-19 pandemic and promoting the development of the health industry in China. 

As the legal counsel, the DeHeng team was led by partner Jia Hui of DeHeng's Beijing Office, with primary support from advisor lawyer Ma Wei, lawyer Li Yanan, and intern lawyers Mu Jiashuang and Li Yijin. The deal was complex due to the large number of projects the fund has invested in or plans to invest in. The DeHeng team adopted the method of sample survey, made a detailed examination into the integrity and compliance of the internal decision-making documents of the fund manager on previous investments and target companies of capital increase, issued risk warnings and legal opinions on the problems identified, participated in the negotiation and the design and drafting of transaction documents, and assisted Greatwall Life in completing the deal.
