to Complete Major Asset Restructuring Project

On June 15, 2018, the major asset restructuring project of Shunliban Information Services Co., Ltd. (stock code 000606, formerly "Shenzhou Yiqiao Information Services Co., Ltd.", hereinafter referred to as "Shunliban") was reviewed and approved by the general meeting of shareholders. On June 28, 2018, the requisite registration with the Industry and Commerce Administration was completed. On July 3, 2018, DeHeng lawyers issued a legal opinion on the implementation of the project and announced the successful completion of the project.

In 2016, Shunliban formed a dual-main business development model through major asset restructuring with enterprise Internet service business as the guide and manufacturing business as the support. Through these far-ranging reforms, Shunliban implemented its "100 cities and 1000 stores“ program nationwide, built an enterprise service operation center, and established its own unique enterprise ecosystem. In 2017, Shunliban divested its original manufacturing business through restructuring. This not only concentrated its resources to better develop its enterprise Internet service business and realized a wide-ranging business transformation, but also adjusted the scale of asset income, improved the net profit attributable to the parent company, and improved the overall strength and profitability of Shunliban.

 

In this major asset restructuring, Shunliban purchased 60% of the equity of Khorgos Kuaima Finance and Taxation Management Services Co., Ltd. with a consideration of 600 million yuan, and completed the integration of 115 companies as terminal assets. Through this major asset restructuring, Shunliban implemented its strategic layout of internet services for corporations.
